1. Introduction and General Definitions
1.1. Welcome to Velut.ai (hereinafter: "the Site" or "the Service"). The Site is operated and managed by Velut.ai, whose registered address is: Admonit Hahoresh 13, Sderot, Israel 8714356 (hereinafter: "the Company" or "Site Operator").
1.2. The Site provides an AI-based Software as a Service (SaaS) platform, designed to assist users in creating, optimizing, and managing content for the LinkedIn social network.
1.3. Use of the Site, its content, and the services offered within it is subject to these Terms of Use (hereinafter: "the Terms"). Please read the Terms carefully, as any action on the Site, including registering for the service, purchasing a subscription, or using any of the Site's tools, indicates your full and unqualified consent to these conditions. If you do not agree to the conditions, you must refrain from using the Site.
1.4. The Site is intended for business and professional use (B2B/Prosumer). However, the provisions of these Terms are drafted based on standards of consumer fairness and compliance with relevant Israeli law.

2. Nature of Service and Registration
2.1. The Service allows users to analyze their writing style ("Writing DNA"), generate personalized posts using AI models, and track content performance.
2.2. Access to advanced services on the Site requires registration and creating a personal account ("the Account"). The user commits to providing correct and accurate details during registration. Providing false details is prohibited and may constitute a violation of the law.
2.3. The Service is provided as a limited, personal, non-transferable, and revocable license, and does not constitute a sale of the software itself.
3. Intellectual Property and Content Ownership (IP Ownership)
3.1. Company Property: All intellectual property rights in the Site, including source code, algorithms, AI models, databases, user interface (UI/UX), trademarks, and trade secrets, are the exclusive property of the Company. You may not copy, reproduce, distribute, or reverse engineer the system.
3.2. User Content: The Company clarifies that it has no claim of ownership over the content the user inputs into the system ("Input") or the outputs the system generates for them ("Output"), such as post texts. The user holds full rights to these outputs and may make any use of them (including commercial).
3.3. The user grants the Company a limited license to use the inputted content solely for the purpose of providing the service, improving algorithms, and performing anonymous statistical analyses, all subject to the Privacy Policy.
4. Payment and Billing Policy
4.1. The Service on the Site is provided under a model of a one-time initial charge in addition to a recurring subscription fee, which renews automatically for consecutive periods (monthly or annually, according to customer choice), until a cancellation notice is given.
4.2. Payment is made via credit card. Actual billing is performed by a secured external clearing provider approved by credit card companies (PCI-DSS Compliant).
4.3. Choosing a subscription plan constitutes consent to Recurring Billing. The user authorizes the Company to charge the payment method provided at the time of subscription renewal, according to the rate prevailing at that time.
4.4. A tax invoice/digital receipt will be sent to the user's email address after each charge.
5. Cancellation and Refund Policy
This section is drafted in accordance with the Consumer Protection Law, 5741-1981 and its regulations, and in accordance with credit card company rules.
5.1. General Right to Cancel: The user may cancel the subscription at any time without cancellation fees (except for the utilized period).
5.2. How to Cancel: The cancellation notice shall be delivered by the user in one of the following ways:
- By clicking the "Cancel Subscription" button in the personal area on the Site (Recommended – the fastest way).
- By using the "Cancel Transaction" link appearing on the Site's homepage.
- By sending an email to: Aviv.sderot@gmail.com.
- By registered mail to the Company's address.
The cancellation notice must include full name, the email address used to register for the service, and ID/Company number (for identification purposes).
5.3. Cancellation Effective Date and Cessation of Charges:
- Canceling a Recurring Subscription: In accordance with Section 13D of the Consumer Protection Law, billing will cease within 3 business days from the date of delivery of the cancellation notice (or within 6 business days if sent by registered mail).
- After cancellation, the subscription will remain active until the end of the current billing period (month/year) for which payment has already been made, and no further charge will be made for the subsequent period. The user will not be entitled to a proportional refund for unutilized days within the current billing period, unless the cancellation was made lawfully due to a defect or non-conformity.
5.4. Right to Cancel within the First 14 Days (Distance Sale):
- A user who is a "consumer" as defined by law, represents they may cancel the transaction within 14 days from the date of the transaction or from the date of receipt of the disclosure document (whichever is later), and receive a full refund.
- Exception to the Right of Cancellation: The user's attention is drawn to the fact that under Consumer Protection Regulations (Transaction Cancellation), the right of cancellation does not apply to "Information" as defined in the Computers Law. Since the Velut.ai service is based on creating information and data (posts and insights), the Company reserves the right to refuse retroactive cancellation if the user made substantial use of the system (such as creating a large number of posts) during the 14 days, as in this case the "Information" has already been consumed and cannot be returned.
- However, in cases where substantial use was not made, the Company will allow cancellation and refund minus a cancellation fee of 5% of the transaction value or 100 ILS, whichever is lower (as stipulated by law).
5.5. Special Populations: A consumer who is a person with a disability, a senior citizen (over age 65), or a new immigrant, may cancel the transaction within 4 months from the date of the transaction or receipt of the disclosure document, provided that the engagement included a conversation (including electronic chat) with a Company representative. The Company may require a certificate proving the consumer's status.
6. Warranty and Limitation of Liability (Disclaimer)
6.1. The Service is provided "AS IS" and "AS AVAILABLE". The Company does not guarantee that the Service will operate without interruptions or malfunctions.
6.2. The content generated by the system is based on artificial intelligence, which by nature may produce inaccurate outputs ("AI Hallucinations"). The sole responsibility for checking the content, editing it, and approving it before publication on LinkedIn rests with the user.
6.3. The Company shall not be liable for any damage, direct or indirect, caused to the user or a third party as a result of using the generated content, including LinkedIn account blocking, damage to reputation, or loss of profits.
6.4. The Company's maximum liability towards the user, for any cause whatsoever, shall be limited to the amount paid by the user to the Company in the last month preceding the event of damage.
7. Information Security and Privacy
7.1. The Company implements advanced protection mechanisms to secure information on the Site. Credit card clearing is performed under the strict PCI-DSS standard.
7.2. The Site's Privacy Policy [https://www.velut.ai/en/privacy] constitutes an integral part of these Terms.
8. Governing Law and Jurisdiction
8.1. These Terms shall be governed solely by the laws of the State of Israel.
8.2. Exclusive jurisdiction for any matter and dispute is vested in the competent courts in the Tel Aviv-Yafo district.
